Terms and Conditions

1 – Introduction

  • (a) These terms and conditions (Terms) apply when you install, access, or use the ulittle Shopify App (App), including any features, integrations, or services provided by the App.
  • (b) You agree to be bound by these Terms, which form a binding agreement between you (“you,” “your”) and Ulittle Pty Ltd (ABN 87 658 942 986) (“Ulittle,” “we,” “us,” “our”).
  • (c) If you do not agree to these Terms, do not install or use the App.
  • (d) We may update these Terms at any time by publishing a revised version via the App or App listing. Your continued use of the App following such updates indicates your acceptance of the amended Terms.

2 – Access and Use of the App

  • You must use the App in compliance with these Terms and applicable laws. You are responsible for ensuring your users, agents, and collaborators comply with these Terms.
  • The App is intended to be used solely for lawful purposes in connection with your Shopify store(s). Misuse may result in termination of access.

3 – Your Obligations

You must not:

  • (a) copy, modify, reproduce, distribute, or create derivative works of the App or its underlying code, except as explicitly authorised by law or with our consent;
  • (b) use the App for purposes other than managing, promoting, or operating your online store;
  • (c) use or access the App in a manner that is illegal, fraudulent, harmful, or that compromises security;
  • (d) disrupt or burden the App’s infrastructure, servers, or network;
  • (e) use automated methods (e.g. bots, scraping tools) to access or interact with the App without our prior written consent;
  • (f) act in a way that harms our brand or reputation, including any misleading promotion or representation;
  • (g) attempt to circumvent or breach security or authentication mechanisms, including unauthorised access to data.

4 – Data and Information

  • We strive to keep the App functioning properly and the information accurate, but:
    • (a) the App may contain errors or bugs;
    • (b) availability may be interrupted or limited;
    • (c) notifications or messages may not be delivered timely or at all;
    • (d) data transmitted via the App may not always be secure or confidential;
    • (e) any functionality, descriptions, or content may be changed without prior notice.
  • The App and its features are provided “as-is,” and you acknowledge these limitations.

5 – Intellectual Property

  • (a) Ulittle (or its licensors) retains all intellectual property rights in the App and its content (including but not limited to design, code, UI, graphics, documentation).
  • (b) You may download and use the App strictly for the intended purpose in managing your Shopify store. Any unauthorised copying, distribution, or modification is prohibited without prior written consent.

6 – Third-Party Links and Integrations

  • The App may integrate with or link to third-party services (e.g. APIs, Shopify features). Ulittle does not control these services and is not responsible for their content, performance, or reliability.
  • Inclusion of such integrations does not imply endorsement by Ulittle.

7 – Security

  • Ulittle is not liable for any damage or loss resulting from your use of the App. You should secure your access credentials and systems and take necessary precautions against malware or breaches.

8 – Reporting Issues

  • If you detect misuse, bugs, or security vulnerabilities in the App, please notify us promptly via the contact information provided in the App listing or support channels.

9 – Privacy

  • Your use of the App is also governed by our Privacy Policy, which is available via the App listing or our website. By using the App, you consent to our processing of personal information in accordance with that policy.

10 – Liability and Indemnity

  • Ulittle provides the App without warranties and is not liable for any direct or indirect loss arising from its use, to the maximum extent permitted by law.
  • You agree to indemnify and hold Ulittle harmless from any claims or liabilities arising out of your use of the App.

11 – General

11.1 Governing Law and Jurisdiction

This agreement is governed by the laws of Victoria, Australia. You and Ulittle submit to the exclusive jurisdiction of the courts of Victoria and any appeals thereof.

11.2 Waiver

A waiver of any right under these Terms must be in writing and signed by the party granting it.

11.3 Severance

If any clause is found invalid or unenforceable, it will be severed without affecting the remainder.

11.4 Joint and Several Liability

If more than one person installs or uses the App, each is jointly and severally liable.

11.5 Assignment

You may not assign your rights or obligations under these Terms without our written consent; we may assign our rights without notice.

11.6 Entire Agreement

These Terms, along with the Privacy Policy and any referenced documentation, constitute the entire agreement and supersede prior agreements.

11.7 Interpretation

  • (a) Words in singular include plural and vice versa.
  • (b) Gender-neutral language applies.
  • (c) Defined terms extend across forms.
  • (d) “Person” includes individuals, companies, trusts, entities.
  • (e) Reference to “party” includes successors and permitted assigns.
  • (f) “This agreement” includes all appendices and modifications.
  • (g) “Document” includes varied or amended documents.
  • (h) Headings and bold text are for convenience and do not affect interpretation.
  • (i) “Includes” is not a term of limitation.
  • (j) No term shall be interpreted against the drafter.
  • (k) References to “$” or “dollars” are to Australian dollars (AUD), unless otherwise stated.

12 – Data Handling & Export

  • You may download your data at any time by navigating to Settings > Export My Data within the App.
  • The App processes and stores your Shopify data using secure, enterprise-grade cloud infrastructure provided by Gadget.dev to deliver analytics and tracking services. All data handling is governed by strict data protection protocols and industry-standard security measures.
  • Your data is not shared with or sold to any non-App services or third parties. Ulittle Pty Ltd maintains full control over data access and usage, ensuring your information is used solely for providing the services described in these Terms of Service.

13 – Billing, Subscriptions & Cancellations

  • (a) Billing for the ulittle App—including subscription setup, recurring payments, plan changes, proration, and cancellation—is handled entirely by Shopify, using its integrated billing platform. Ulittle Pty Ltd does not process payments directly.
  • (b) When you uninstall the App from your Shopify store, Shopify automatically cancels your subscription—no manual action is required.
  • (c) Shopify manages proration, deferral, and credits for mid-cycle plan changes according to its billing logic.
  • (d) Should we need to cancel your subscription on your behalf, we will use Shopify’s billing APIs or managed billing tools (e.g., the appSubscriptionCancel mutation or billing.cancel function).
